Annex: Model cancellation form
Last updated: 22 September 2026 | Version: 1.1
This is a plain-English summary to help you understand this document before you read it in full. It is not part of your contract with us, and does not replace or override the full terms below, which apply in all cases. If anything in this summary appears to conflict with the full document, the full document applies.
Payment for all Courses, Tutorials, and Products is required in full in advance, and is processed only through Stripe, our payment processor (Section 5).
If you are a Consumer, you have the right to cancel within 14 days of your Contract being formed, and to a full refund, provided your Course or Tutorial has not started and you have not accessed related Digital Content early (Section 6).
If your Course or Tutorial starts within that 14-day period, or you have accessed Digital Content early, cancelling later may mean paying for what has already been provided (Sections 6.2 and 6.3).
After the 14-day period, refunds are at our discretion and an administration fee may apply; Course and Tutorial transfers are available subject to fees and conditions (Section 7).
If you are a Business Customer, different cancellation and refund rules apply, and the statutory 14-day cancellation right described above does not apply to you (Section 8).
Our Courses, Tutorials, and Products are only available to customers aged 18 or over, resident in the United Kingdom (Sections 2 and 21).
Live sessions may be recorded; recordings of live sessions in which you appear are not used for promotional purposes or in publicly-facing training content unless you separately give your express consent to that specific use. We are under no obligation to make a recording available to anyone except where the law requires it. (Section 14.4; see also our Privacy Notice).
Our liability to you is limited as described in Section 20; further detail on cancellations by us, changes to courses, and events outside our control is set out in Sections 10, 11, and 19.
If you are a business customer: the summary above is written primarily with Consumers in mind. In particular, the 14-day statutory cancellation right does not apply to you — see Section 8 for the cancellation and refund position that applies to your Contract instead.
The Services and Products described in these Terms and Conditions are provided by Woodroffe Legal Education ("Woodroffe", "we", "us", "our").
These Terms and Conditions form the contract between Woodroffe and any customer who purchases a Service or Product from us, whether that customer is a Consumer or a Business Customer (each defined in Section 3). They govern the sale and delivery of our Services and Products, and your and our respective rights and obligations in connection with that purchase.
These terms are separate from our Website Terms, which govern your general use of our website and do not themselves form a purchase contract, and from our Privacy Notice, which explains how we handle your personal information. Where relevant, these terms cross-refer to both. If there is any conflict between these Terms and Conditions and our Website Terms in relation to your purchase or enrolment, these Terms and Conditions take priority.
Most of these terms apply equally to Consumers and Business Customers. Where consumer protection law gives Consumers specific rights that do not extend to Business Customers — most importantly, the statutory right to cancel described in Section 6 — this is addressed in dedicated sections, and you should read the section that applies to you.
Our Services and Products are offered only to, and these terms are written for, customers resident in the United Kingdom. These terms are written on the basis that the law of England and Wales governs your Contract, and are not intended to extend the protection of any other country's law to a customer resident outside the United Kingdom.
These terms are written in English, and all communications between us in connection with your Contract will be in English. Where these terms are ever translated into another language for convenience, the English-language version will prevail in the event of any conflict or inconsistency.
Woodroffe is an independent training provider and is not affiliated with, endorsed by, or acting on behalf of the Solicitors Regulation Authority (SRA) or Kaplan.

In these terms:
"Consumer" means an individual acting wholly or mainly outside their trade, business, craft, or profession.
"Business Customer" means any customer who is not a Consumer, including a company, partnership, sole trader acting for business purposes, or other organisation, and any individual acting on its behalf.
"Contract" means the individual contract formed between you and us for a specific Service or Product, on these terms.
"Service" means any teaching, tuition, or training service we make available to you, including a Course or a Tutorial (each as defined below), whether provided alone or together with a Product.
"Course" means any structured programme of online teaching or training we provide, whether delivered as a single session or a series of sessions, and whether delivered in the form of a Class, a Lecture, or otherwise.
"Lecture" means a Course session delivered by a tutor primarily in the form of a presentation, which may be designed or otherwise intended by us to cater for a group of students (including a one-to-many format), in which student participation is generally limited to questions or comments raised by voice or in the on-screen chat, rather than structured two-way interaction throughout the session.
"Class" means a Course session designed or otherwise intended by us to be delivered by a tutor to a group of students in a more interactive format than a Lecture, typically involving structured discussion, exercises, or two-way engagement between the tutor and students throughout the session. Classes might be described as, for example, workshops, seminars, or webinars.
"Tutorial" means a one-to-one session of teaching, training, or coaching, tailored to your individual requirements, that you book with us, whether purchased individually or as part of a Package.
"Package" means two or more Tutorials that you purchase together for a single combined price, under one Booking. Where a Package is purchased for a single combined price, each Tutorial within it is valued, for the purposes of these terms, at an equal proportion of that price, unless a different allocation was stated to you at the point of purchase.
"Product" means anything we make available to you for purchase other than a Service, whether provided as part of a Service or purchased separately, and includes both Digital Content and Goods.
"Digital Content" means any Product supplied to you in a non-physical, electronic form, including recordings, e-books, and other digital materials.
"Goods" means any Product supplied to you as a physical item, such as a printed book or publication.
"Materials" means any Digital Content, Goods, or other resources we provide to you as part of a Service or Product.
"Booking" means your order for a Service or Product, made through our website, by email, or through the platforms we use to schedule teaching (including Google Calendar).
References to "you" and "your" mean the customer making a Booking, whether a Consumer or a Business Customer, unless a section states otherwise.
A Contract is formed between you and us only once we have confirmed your Booking and received payment in accordance with Section 5, save that, where we have agreed invoicing or credit payment terms with a Business Customer under Section 5, the Contract is instead formed once we have confirmed that Business Customer's Booking, and payment is due as set out in the applicable invoice or written agreement rather than as a condition of the Contract being formed.
Where you purchase a Package, see Section 6.6 for how this affects the formation of your Contract and the cancellation period that applies to it.
Until a Contract is formed, no Contract exists, and a Booking is only an offer by you to purchase the relevant Service or Product.
To place a Booking, you will generally need to:
select the Service or Product you wish to purchase;
provide the information we request;
review your Booking details and correct any input errors before completing your order; and
complete payment as described in Section 5.
Once you have completed payment, we will send you electronic confirmation acknowledging receipt of your Booking without undue delay. We do not separately file or make available a copy of your Contract once formed; we recommend you keep a copy of your Booking confirmation and these terms for your own records.
We may decline to accept a Booking at our discretion — for example, where a Service is fully booked, where we reasonably suspect fraud, or where we are unable to verify your eligibility to purchase (including the age requirement in Section 21). If we decline your Booking after you have made payment, we will refund you in full.
Each Contract relates only to the specific Service or Product you have booked and paid for. Service or Product descriptions provided on our website are for marketing and informational purposes; the specific terms of what you have purchased are set out in these Terms and Conditions together with any Service- or Product-specific information provided to you in writing at the point of Booking.
If you make a Booking on behalf of a Business Customer, you confirm to us that you have the authority to bind that Business Customer to the resulting Contract, and the Business Customer will be treated as the contracting party for all purposes under these terms.
Some of our Services are delivered through Google services, including Google Classroom, Google Meet, and Google Calendar. To access these Services, you may need to sign up using a Google account or Google email address; this is a practical requirement of accessing our teaching and materials through these platforms, and your access may depend on it. If you are unable or unwilling to create or use a Google account, we may not be able to give you full access to a Service delivered through these platforms; where this is the case, please contact us before booking so we can discuss what options, if any, are reasonably available to you. If you are unable to access a Service for this reason after you have paid, please contact us; you may also have a right to cancel under Section 6 if you are still within the 14-day cancellation period.
All prices are shown in pounds sterling (GBP).
We do not currently charge VAT on our Services or Products. If this changes — for example, if we become required or elect to register for VAT — we reserve the right to apply VAT to our prices at the rate then in force, and this will be made clear to you at the point of Booking. This does not require us to amend these terms each time our VAT position changes.
If we discover that a Service or Product was listed at an incorrect price at the time of your Booking, we will contact you as soon as reasonably possible to let you know. You may then choose to proceed with your Booking at the correct price, or to cancel it and receive a full refund of anything you have already paid. If we are unable to contact you within a reasonable time, we will treat your Booking as cancelled and refund you in full.
Payment for all Services and Products is required in full in advance, save as set out below for Business Customers. No Booking is confirmed, and no Contract is formed, until payment has been received in accordance with this section.
All payments are processed by Stripe, our third-party payment processor. We do not take or request payment by any other means, and we do not collect or store your full card details ourselves. Where we use Google Calendar or other scheduling tools to facilitate or coordinate your Booking — including where the booking process is linked or integrated with our Stripe checkout — those tools are used only to schedule or facilitate the Booking; payment itself is always processed by Stripe. Stripe's own terms and privacy policy apply to its processing of your payment; see our Privacy Notice for further detail.
Where we agree in writing to offer a Business Customer invoicing or credit payment terms as an alternative to upfront payment via Stripe, those terms will be set out in the relevant invoice or a separate written agreement, and will apply in place of the advance-payment requirement in this section for that Business Customer only; where we have so agreed, the Contract is formed as described in Section 4.1 rather than being conditional on receipt of payment. Any invoiced amount must be paid in full, by the due date stated on the invoice, without any set-off, deduction, or counterclaim, unless we have agreed otherwise with you in writing. Save where we have agreed invoicing or credit terms in writing, all customers — including Business Customers — must pay in full in advance via Stripe as described above, and a Booking will not be confirmed until this section has been satisfied.
Prices for a Course or Tutorial are fixed at the point your Booking is confirmed and will not change for that Booking, save as set out in Section 11 (Changes to courses and tutorials) or where you agree a course transfer under Section 7.
This section applies only if you are a Consumer, as defined in Section 3. If you are a Business Customer, Section 8 applies instead.
You have the right to cancel your Contract within 14 days, without giving any reason, in accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
Where your Contract is for a Service or Digital Content, this 14-day period runs from the date your Contract is formed under Section 4.
Where your Contract is for Goods, this 14-day period runs from the day you (or someone you nominate, other than a carrier) receives the Goods.
To cancel, you may contact us using the details in Section 31, or use the model cancellation form in the Annex to these terms. You do not need to use a particular form of words, but you should include your name, Booking reference, and the date of your Booking.
If you cancel within the 14-day period before your Service has started, and before you have accessed or downloaded any Digital Content forming part of it, you will receive a full refund. If you have accessed or downloaded such Digital Content before your Service has started, Section 6.2 applies to determine what (if anything) you are required to pay, even though the Service itself has not yet begun. Before making any such Digital Content available to you ahead of your Service starting, we will separately ask for your acknowledgment and consent as described in Section 6.2 (the early-access acknowledgment).
If you book a Service that is scheduled to begin, or actually begins, before the 14-day cancellation period has expired, the law requires us to obtain your express request or acknowledgement before we begin providing that Service to you during the cancellation period. We will therefore ask you to confirm, at the point of Booking, that you want us to start delivering the Service straight away and that you understand this may affect your cancellation rights as described in this section (the commencement confirmation). If you do not give the commencement confirmation, we will not begin delivering your Service until the 14-day period has expired.
Separately, where we make any Digital Content forming part of your Service available to you before the Service itself starts, we will ask you, before you access or download that Digital Content, to acknowledge that your right to cancel that Digital Content on its own will be lost once you access or download it, and to expressly consent to us providing it to you on that basis (the early-access acknowledgment). The effect of giving the early-access acknowledgment is that, if you later cancel your Contract — whether or not your Service has itself started by that point — that Digital Content will not be refunded to you in full; instead, its value is included in the pro-rata calculation described below. If you do not give the early-access acknowledgment, we will not make that Digital Content available to you before your Service begins; your right to cancel it continues, together with your right to cancel the Service itself, in accordance with this section.
Where you have given the commencement confirmation and later cancel within the 14-day period after your Service has started, you will not receive a full refund. Instead, to the fullest extent the law permits, you will be required to pay for the proportion of the Service that has already been provided to you at the point you notify us of cancellation, calculated on a pro-rata basis by reference to the total price and taking into account any teaching, training, or Materials already provided to you or procured on your behalf. Where you have given the early-access acknowledgment and accessed or downloaded Digital Content before your Service started, as described above, that Digital Content is included in this pro-rata calculation — whether or not your Service has itself started by the time you cancel — at the price at which we sell it separately, or, if we do not sell it separately, at a reasonable value reflecting its cost and significance relative to the Service as a whole. You will be refunded the balance of what you have paid.
Because Tutorials are personalised and prepared specifically for you, the pro-rata calculation described in Section 6.2 also takes into account any tutor preparation time already spent on your Tutorial as at the date you notify us of cancellation. This applies in particular, but is not limited to, cases where you cancel a Tutorial with less than 24 hours' notice before it is due to take place.
Where you purchase Digital Content separately from a Service (for example, a standalone recording or set of digital materials), your statutory right to cancel that purchase within 14 days ends as soon as you begin to download or access it, provided that, before you do so, you have expressly acknowledged that you will lose your right to cancel once download or access begins and expressly consented to us providing the Digital Content to you immediately. We will ask for this acknowledgement and consent at the point you purchase standalone Digital Content. If you do not download or access it, your right to cancel under Section 6.1 continues to apply for the remainder of the 14-day period.
Digital Content we supply generally requires a stable internet connection, a Google account (for Service-related content delivered through our teaching platforms), and a device and software capable of opening standard document, audio, or video file formats. Any specific technical requirements for a particular Service or item of Digital Content will be set out on its product page or in the information provided to you at the point of Booking.
Where you purchase Goods (a physical item) separately from a Service, and you cancel within the 14-day period described in Section 6.1, you must return the Goods to us at the returns address provided to you at the time of purchase, without undue delay and in any event within 14 days of telling us you wish to cancel. You will be responsible for the cost of returning the Goods to us, unless we tell you otherwise. We may make a deduction from your refund to reflect any diminished value of the Goods resulting from handling beyond what is necessary to establish their nature, characteristics, and how they work. We will process your refund within 14 days of receiving the returned Goods, or of you providing evidence that you have sent them back to us, whichever is earlier.
Where you purchase a Package, a single Contract is formed for all of the Tutorials within it at the point of Booking, and the 14-day cancellation period described in Section 6.1 runs from that point for the Package as a whole.
If the first Tutorial in your Package is scheduled to begin, or begins, before that period has expired, Section 6.2 applies to the Package as it would to a standalone Tutorial: we will ask for your commencement confirmation before delivering any session during the cancellation period.
If you later cancel within that period, each Tutorial already delivered will be included in the calculation of what you are required to pay, on the same pro-rata and tutor-preparation-time basis described in Sections 6.2 and 6.3, using the per-Tutorial value described in the definition of "Package" in Section 3.
This section applies only to Consumers, once the 14-day cancellation period described in Section 6 has expired.
If you cancel your Booking after the 14-day cancellation period has expired, you will not be entitled to a refund, except at our discretion. Where we agree to a discretionary refund, we may charge a reasonable administration fee. Any discretionary refund under this section will be net of any payment processing fee we have incurred in connection with your original payment that is not itself refunded to us by our payment processor, in addition to any administration fee charged under this section.
Subject to our approval and availability, you may request to transfer your enrolment from one Course to another, provided the new Course is priced the same as, or higher than, your original Course; we do not permit a transfer to a Course priced lower than the one you originally booked. Any outstanding balance on the new Course must be paid before the transfer is confirmed. We reserve the right to charge a course transfer fee of 15% of the price you originally paid for your Course for each transfer, subject to a maximum of £75.
A Course enrolment cannot be transferred to a Tutorial booking, or vice versa; a transfer must be like-for-like (Course to Course, or Tutorial to Tutorial).
Once live teaching has begun for the Course you are enrolled on, we will only agree to a transfer in exceptional circumstances (for example, a significant change in your personal or professional circumstances that prevents you continuing), and any such transfer remains subject to our approval and availability, and to the fee structure, described in this section.
This section applies to a Tutorial purchased individually; where a Tutorial forms part of a Package, Section 7.4 applies instead. Subject to our approval and availability, you may request to transfer your Tutorial booking to an alternative date. We may grant this provided your request is received at least 24 hours before the date and time of your original booking. We reserve the right to charge a transfer fee of 15% of the price of your Tutorial for each Tutorial transfer, subject to a maximum of £15. A maximum of two transfers is permitted per Tutorial booking, reflecting the personalised preparation required for Tutorials and the disruption that repeated transfers can cause to that preparation.
Where a Tutorial forms part of a Package, you may request to transfer that individual session to an alternative date, subject to the same 24 hours' notice requirement described in Section 7.3. We reserve the right to charge a transfer fee of 15% of that Tutorial's value, as described in the definition of "Package" in Section 3, subject to a maximum of £15. This transfer allowance is available once for each Tutorial within a Package.
This differs from the two-transfer allowance available for a standalone Tutorial under Section 7.3 because Tutorials purchased as part of a Package must be used within the validity period described in Section 7.5. Allowing two transfers for each Tutorial within a Package, as applies to a standalone booking, would place considerably greater pressure on that period where a Package contains several Tutorials, and correspondingly greater pressure on the availability of tutor time to accommodate repeated rescheduling across multiple personalised sessions within a fixed window.
Tutorials purchased as part of a Package must be used within 6 months of the date of purchase. We will remind you by email, in good time before this period ends, so that you have a reasonable opportunity to use any remaining Tutorials or request an extension.
If you have not used all of the Tutorials in your Package by the time this period is due to end, you are entitled to a one-off extension of up to 1 month, provided you request it before the original 6-month period expires. We may, at our discretion, agree to a further extension beyond this.
If any Tutorials remain unused once the period (as extended, if applicable) has ended, they will no longer be available to you as sessions. Instead, we will issue you a credit note for their value, calculated in accordance with the definition of "Package" in Section 3, valid for 12 months from the date of issue against any other Course, Tutorial, or Product.
This section applies if you are a Business Customer, as defined in Section 3. The statutory cancellation rights described in Sections 6 and 7 are rights given to Consumers only and do not apply to you.
Cancellations and refunds in respect of a Business Customer's Contract are at our sole discretion, restricted to the maximum extent permitted by law. Where we agree to a cancellation or refund, we may apply any conditions, deductions (including for preparation time, Materials, or Services already provided), or administration fees that we consider reasonable in the circumstances, and we are not bound by the specific fee structure set out in Section 7 for Consumers, although we may choose to apply equivalent terms at our discretion.
The statutory quality and fitness-for-purpose standards that apply to your Contract, and the terms that are excluded in relation to it, are set out in Section 20.2 (Liability).
Where you fail to attend a session forming part of a Service you have booked, without cancelling or transferring it in accordance with Section 6, 7, or 8 (as applicable) before it takes place, you will not be entitled to a refund, transfer, or credit in respect of that session. Because we remain ready, willing, and able to provide the session to you at the scheduled time, and because the resources, tutor time, and (for Tutorials) preparation associated with it have been committed on that basis, we will treat that session as having been provided to you for the purposes of any pro-rata or discretionary refund calculation under these terms.
The same principle applies where you attend a session but it ends before its scheduled duration for a reason within your control — for example, because you leave early, become unavailable, or experience a technical failure at your end. In these circumstances, the session will be treated as having been delivered to you in full, for the same reasons set out above, and you will not be entitled to a refund, credit, or make-up session in respect of the unused time. Section 11.6 (Sessions that end early) addresses the position where a session instead ends early for a reason within our control, or because its content has been fully covered.
Where there is good reason to do so, we may cancel a Course, Tutorial, or Product (or any component of it) that you have ordered, or be unable to deliver it to you in full, before we have done so. This may include, for example, discontinuing a Course under Section 11.2 (Suspension, discontinuation, or combination of a Course), for reasons such as low enrolment numbers or a tutor's illness or unavailability. We will give as much notice of this as is reasonably practicable in the circumstances.
Where we cancel a Course or Tutorial, we will try to offer you a transfer to an alternative Course or Tutorial that is practical and acceptable to you, subject to payment or refund of any difference in price. If we cannot offer an acceptable alternative, or if we cancel or are unable to supply a Product, we will refund all fees you have paid for the cancelled Service, Product, or component. Where only part of a Service is cancelled, any refund will be made on a proportionate basis.
This section, Section 11 (Changes to courses and tutorials), and Section 19 (Events beyond our control) between them address the circumstances in which we may need to cancel, change, or be unable to deliver a Service or Product.
Where a Course is discontinued under Section 11.2, this section (section 10) applies to determine your refund, in the same way as it does where we otherwise cancel a Service or Product under this section:
Section 11.3 (Changes to individual sessions and Tutorials) instead sets out its own, separate proportionate refund entitlement where an individual session forming part of a Course, or an individual Tutorial forming part of a Package, is changed.
Where a standalone Tutorial (that is, one not forming part of a Package) cannot be rescheduled under Section 11.3, that section treats it as cancelled and this section applies to it accordingly.
Section 11.1, a Suspension or Combination under Section 11.2, and Sections 11.4 and 11.5, do not themselves give rise to any refund under this section.
Separately, any loss you may claim in addition to a refund under this section is governed by Section 20 (Liability), and, where they apply, by the force majeure provisions in Section 19.
We aim to deliver each Course and Tutorial in accordance with its published description or agreed scope. However, we reserve the right to make reasonable changes — before or after you enrol or book — to the timetable, delivery platform, or teaching staff specified for a Course or Tutorial, and to make reasonable changes to a Course's content or syllabus, provided that any such change does not materially reduce the overall value of the Course or Tutorial to you. Because a Tutorial is personalised and tailored to your individual requirements, where we need to change the tutor assigned to your Tutorial, we will take reasonable steps to assign a suitably qualified replacement and will notify you of the change in advance where practicable.
In exceptional circumstances — for example, a change in a subject area, sustained low enrolment numbers, or a tutor's illness or unavailability that we are unable to address by arranging a suitable replacement — we may need to suspend, discontinue, or combine a Course. These are different outcomes, with different consequences for you:
Suspension. We pause delivery of the Course temporarily, with the intention of resuming it. We will tell you our expected timeframe for resuming. If we are unable to resume within that timeframe, we will treat the Course as discontinued under this section.
Discontinuation. The Course will not continue or be completed. Where this affects a Course you have booked, Section 10 (Cancellation or changes by us) applies, and you are entitled to the alternative-Course offer or refund described there.
Combination. We merge the group of students you are enrolled in with another group, so that you continue to receive the Course's syllabus and a materially equivalent standard of teaching, alongside a different or additional cohort of students. Combining a Course in this way is not, of itself, a discontinuation, and Section 10 does not apply to it, provided the overall syllabus and standard of teaching you receive remains materially the same. If we are unable to maintain that, we will instead treat this as a discontinuation of the Course, and Section 10 will apply.
This section deals with changes affecting a Course, or all students on it, as a whole. Where only an individual session or Tutorial booking is affected, Section 11.3 applies instead; where you are simply moved between parallel groups that are both continuing to run, Section 11.4 applies.
Other than in the circumstances described in Section 11.2, we may occasionally need to change an individual session forming part of a Course, or a Tutorial booking — for example, due to a tutor's short-notice unavailability. Where this happens, we will give you as much notice as is reasonably practicable. What happens next, and what (if anything) you are entitled to if the change cannot be resolved, depends on whether the affected session is a Course session (Section 11.3.1), a Tutorial forming part of a Package (Section 11.3.2), or a standalone Tutorial (Section 11.3.3).
11.3.1 Course sessions
Where an individual session forming part of a Course is affected, we may, as we consider appropriate in the circumstances, either:
offer you a reasonable alternative date or time for that session, at no additional cost; or
make the content that would otherwise have been taught in that session available to you by other appropriate means, which may include relevant course materials, a recording of an equivalent session, or another like-for-like session or provision covering the same content.
We are not required to offer, or attempt to offer, an alternative date or time before relying on the second option. Because a Course session is delivered to a group rather than tailored to you individually, we may choose whichever of these options we consider more practicable and appropriate in the circumstances. Where we make provision of the kind described in the second option, and it substantially covers the syllabus content for that session, we will be treated as having performed our obligation to you in respect of that session, and this will not, of itself, entitle you to a refund or credit.
If we are unable, within a reasonable period, to offer either option, that individual session will be treated as cancelled, and you will be entitled to a refund or credit calculated by reference to a reasonable proportion of the total price you paid for the Course, having regard to that session's relative length, content, and resourcing within the Course as a whole. This does not, of itself, entitle you to treat the Course as a whole as cancelled.
Nothing in this section limits any right you may separately have under Section 20 (Liability) or applicable consumer law.
11.3.2 Tutorials forming part of a Package
Where a Tutorial forming part of a Package is affected, we will, wherever practicable, offer you a reasonable alternative date or time for that Tutorial, at no additional cost.
Because a Tutorial is personalised and tailored to your individual requirements, we will not substitute a recording or materials for a Tutorial session under this section unless you agree to this.
If we are unable, within a reasonable period, to offer a suitable alternative date or time, that Tutorial will be treated as cancelled, and you will be entitled to a refund or credit calculated by reference to that Tutorial's value, as described in the definition of "Package" in Section 3. This does not, of itself, entitle you to treat the Package as a whole as cancelled.
11.3.3 Standalone Tutorials
Where a Tutorial you have booked individually, rather than as part of a Package, is affected, Section 11.3.2 applies in the same way, save that, if we are unable to offer a suitable alternative and the Tutorial is treated as cancelled, your refund or credit will be calculated by reference to the total price you paid for that Tutorial.
Where a Course is delivered to more than one group of students at the same time (for example, split by class size, timetable, or teaching group), we may, as a routine operational matter, reallocate you to a different group covering the same syllabus content — including where we do so to address low enrolment numbers in a particular group, to rebalance group sizes, or for similar operational reasons — provided the overall syllabus and standard of teaching you receive remains materially the same.
This section deals with moving you between groups that are both continuing to run. Where we instead need to merge or combine groups because one of them would not otherwise continue, Section 11.2 (Combination) applies.
More generally, we may need to make other changes to the facilities, platforms, or services we use to deliver an equivalent standard of teaching, from time to time, for operational, legal, regulatory, or other reasons. Wherever possible, we will notify you of any such change in advance.
This section applies where a Course session or Tutorial has started but ends before its scheduled duration, other than as a result of your non-attendance or early departure, which Section 9 (Non-attendance and early departure) addresses instead.
Completed early. If a session ends early because the tutor reasonably considers that its planned content or objectives have been fully covered, that session will be treated as having been delivered in full. You will not be entitled to a refund, credit, or additional time as a result.
Ended early for a reason within our control. If a session ends early for a reason within our control — for example, a tutor's illness or unavailability arising during the session, or a technical failure on our platform — we will make up the unused portion of that session to you at no additional cost, as soon as reasonably practicable having regard to your and the tutor's availability:
for a Tutorial, by arranging an additional or extended session covering the unused time; or
for a Course session, by offering an alternative date or time covering the unused content, or by making that content available to you by other appropriate means (materials, a recording, or another like-for-like session or provision), at our discretion, in the same way as described in Section 11.3.1.
No refund or credit is available under this section for an early ending addressed by this paragraph.
Nothing in this section limits any right you may separately have under Section 20 (Liability) or applicable consumer law.
By enrolling on any Service, you agree to behave appropriately and respectfully towards our staff, tutors, and other students, whether interacting in person, online, in writing, or through any platform or resource we make available (including our online learning platform, classroom spaces, video calls, and livestream lectures).
You must not:
behave in a way that is abusive, threatening, harassing, or discriminatory towards any member of staff, tutor, or other student;
disrupt or interfere with the delivery of a Service, or another student's ability to participate in it;
misuse, damage, or attempt to gain unauthorised access to our online learning platform, classroom spaces, video call facilities, or any other resource we provide; or
share, copy, download, or redistribute any Materials, except as expressly permitted under Section 14.
We operate a zero-tolerance policy on verbal or physical abuse directed at our staff or other students. Any such conduct will be treated as gross misconduct.
Where we reasonably determine that you have committed gross misconduct, we may terminate your Contract with immediate effect. Save to the extent that the law requires otherwise, you will not be entitled to a refund of fees already paid for the Service from which you have been removed, reflecting the fact that we remain ready and able to continue providing it to you; nothing in this section prevents us from exercising our discretion to make a partial refund where we consider it fair to do so. Other breaches of this section may result in a warning, suspension, or restriction of your access to our platforms and resources, at our discretion, depending on the severity and circumstances of the breach.
Where you are a Business Customer and have nominated an individual to attend a Service on your behalf, you must ensure that individual complies with this section and with Section 14 (Intellectual property and confidentiality) as if they were the contracting customer, and you remain responsible to us for their compliance. Gross misconduct by a nominated attendee will be treated in the same way as gross misconduct by you for the purposes of this section.
If you require reasonable adjustments to access a Service, or an assessment forming part of it — for example, because of a disability or health condition — please contact us using the details in Section 31 as early as possible, and in any event before your Service begins, so that we can discuss and, where appropriate, put in place suitable adjustments in accordance with the Equality Act 2010. Further information about how we handle any health or disability information you provide to us for this purpose is set out in our Privacy Notice.
All Materials we provide to you are protected by copyright and remain our property or that of our licensors. You may use the Materials for your own personal study only.
You must not copy, reproduce, scan, or otherwise reduce the content of any Materials into another format, or redistribute, publish, or otherwise disseminate copies of that content, without our prior written permission. This applies equally to any third-party copyright material included within our Materials, which remains the property of the relevant third party.
Where Materials are supplied to you as Goods (a physical item), ownership of that physical item passes to you once it has been paid for and delivered, and this section does not prevent you from selling, lending, or otherwise disposing of that physical item. It does, however, continue to restrict copying, reproducing, or redistributing its content, as described above.
"Woodroffe Legal Education" is an unregistered trademark. You must not use our name, branding, or logos in a way that suggests any endorsement, affiliation, or connection with your own products, services, or organisation, or in a way that amounts to passing off.
Any lectures, classes, tutorials, recordings, mock assessments, and communications you take part in or receive as part of a Service are provided to you in confidence. By enrolling on a Service, you agree to keep such Materials and communications confidential, in accordance with the law of England and Wales relating to confidentiality, and not to disclose them to any third party without our prior written consent. This obligation continues after your Service has ended. This obligation does not apply to information that:
is or becomes generally available to the public other than as a result of your breach of this section;
you are required to disclose by law, by a court of competent jurisdiction, or by a regulator or other authority with the power to require disclosure; or
you already lawfully held, free of any obligation of confidentiality, before we provided it to you.
Whether to record a Service, or any session within it — including a Lecture, Class, or Tutorial — is at our discretion; we are under no obligation to record any particular session. Nor are we under any obligation to make available, share, or otherwise provide access to any recording we do make, except where we are legally required to do so — for example, in response to a valid data subject access request under UK data protection law, or an order of a court, regulator, or other body with the power to require disclosure — and, in any such case, only to the extent, and for the specific purpose, that the law requires.
You grant us a licence to use any recording of a Lecture, Class, or Tutorial in which you appear for quality assurance and internal staff training purposes, and for use as evidence in the event of a dispute. A Lecture or Class recording may also be made available to other students enrolled on the same course, as described in Section 5 of our Privacy Notice; a Tutorial recording is not made available to other students, reflecting its personalised, one-to-one nature.
In this section, you "appear" in a recording if you are personally identifiable (for example, by your actual name), visible or audible in it, or if a chat message or other on-screen contribution you make is captured in it — including where you have kept your camera off but chosen to speak or to post in the chat during the session.
This licence is granted from the point you enrol and continues after your Course or Tutorial has ended.
We will not use a recording in which students appear for promotional purposes or in publicly-facing training content, except where we separately obtain the relevant student's express consent to that specific use, as described in our Privacy Notice.
We provide no guarantee of your success in your learning or education, including in any examination or assessment you undertake. This applies in particular to our teaching and training in preparation for centrally assessed examinations, including the Solicitors Qualifying Examination (SQE).
The SQE is set and assessed by the Solicitors Regulation Authority (SRA) and Kaplan, the organisation appointed by the SRA to administer it. Woodroffe is an independent training provider with no connection to, and no ability to influence, the SRA or Kaplan, and nothing in these terms or in our course materials should be taken to suggest otherwise.
Your success in any examination depends on multiple factors, including your own ability, effort, and preparation, and we cannot guarantee any particular outcome. We aim to provide the best teaching and support we can, but this does not amount to, and should not be understood as, a guarantee of exam success.
Payment for, and enrolment on, a particular Service entitles you only to that specific Service. It does not entitle you to access any future Service, including any Course advertised or scheduled as part of a wider programme of Courses, unless and until you separately book and pay for that future Service.
We may, from time to time, have arrangements with third parties (for example, a publisher) under which our customers can receive a discount on the third party's own products. Any such discount, and its terms, are the responsibility of the relevant third party, not Woodroffe. Third parties may withdraw or change a discount at any time, and we cannot guarantee that any advertised discount will remain available. Where we become aware that an advertised discount has been withdrawn, we will take reasonable steps to notify current customers.
We process your personal information in accordance with UK data protection law and our Privacy Notice, which explains what information we collect, how we use it, and your rights in relation to it. By enrolling on a Service, or purchasing a Product, you acknowledge that your personal information will be processed as described in our Privacy Notice.
Some of our Services are delivered through Google services; the practical requirements for accessing them, including the need for a Google account, are set out in Section 4.4. Google's own privacy policies and terms apply to your use of its services, as described further in our Privacy Notice.
If Woodroffe is sold, merged, or otherwise transferred (in whole or in part) to another person — whether an individual or an organisation — your personal information may be transferred to the new owner or successor, in accordance with the arrangements described in our Privacy Notice.
We will not be in breach of our obligations under a Contract, nor liable to you for any resulting loss, where the breach or loss results from an event beyond our reasonable control. Examples of such events include (without limitation):
a pandemic, epidemic, or local health emergency requiring measures to reduce the risk of infection or illness;
industrial action;
acts of God;
acts of terrorism;
war;
government order or action by a governmental authority;
the unanticipated departure or absence of key staff; and
failure or delay by a third-party supplier or subcontractor.
Where such an event affects our ability to deliver a Service or Product, we will take reasonable steps to mitigate its impact on you and to restore normal teaching and services as soon as reasonably practicable.
Nothing in this section restricts any legal right you have that cannot lawfully be excluded or limited, including any right you have under consumer protection law.
If you are a Consumer, we are required under the Consumer Rights Act 2015 to perform our Services with reasonable care and skill, within a reasonable time, and, where not fixed in advance, for a reasonable price, and to ensure that any Goods or Digital Content we supply are as described, of satisfactory quality, and (where applicable) fit for any particular purpose you made known to us before purchase. If we fail to meet these standards, you may be entitled to require us to repeat the relevant Service, to a price reduction, or to other remedies available under that Act. Nothing in these terms limits those statutory rights.
If you are a Business Customer, to the extent permitted by law, the terms that would otherwise be implied into your Contract by the Supply of Goods and Services Act 1982 (in relation to Services, including that we will carry them out with reasonable care and skill, within a reasonable time, and for a reasonable charge) or the Sale of Goods Act 1979 (in relation to any Goods) are excluded. To the same extent, any term as to the quality, fitness for purpose, or description of any Digital Content that would otherwise be implied into your Contract, whether by statute or at common law, is also excluded.
Nothing in this Section 20.2 excludes any term implied as to title, or excludes or limits our liability in a way not permitted under the Unfair Contract Terms Act 1977 or other applicable law.
Nothing in these terms excludes or limits our liability where it would be unlawful to do so, including liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.
We will not be liable to you for any indirect or consequential loss, or for any loss of profit, revenue, business, goodwill, anticipated savings, or data, whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise. This exclusion does not limit or exclude the specific statutory remedies described in Section 20.1 (repeat performance, price reduction, or other remedies available to you under the Consumer Rights Act 2015 for our failure to meet the standards described there), or any other liability that cannot lawfully be excluded or limited. It does, however, apply to any other claim you may bring in connection with a Contract — including a claim in negligence, or for breach of contract, that does not arise from a failure to meet those specific statutory standards — to the extent the law permits such a claim to be limited.
Subject to Sections 20.3 and 20.4, and without prejudice to the specific statutory remedies described in Section 20.1, our total liability to you in connection with a Contract — whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise — is limited, to the maximum extent permitted by the law of England and Wales, to the price or fees you have paid for the specific Service or Product to which the liability relates. If your Contract relates to a Package, this cap is calculated by reference to the value of the specific Tutorial to which the claim relates, as described in the definition of "Package" in Section 3, unless the claim relates to the Package as a whole (for example, where the event giving rise to the claim affected the Package generally rather than a specific Tutorial within it), in which case the cap is calculated by reference to the total price paid for the Package. If you are a Consumer, this cap (including, where your Contract relates to a Package, the cap as calculated above) is instead the greater of (a) the amount so calculated, and (b) £150.
Nothing in this section limits, reduces, increases, duplicates, or otherwise affects a refund you may be entitled to under Section 6, Section 7, Section 10, or Section 11; these are contractual entitlements to repayment (or, in the case of a discretionary refund under Section 7, an agreed repayment), not a form of liability. It does, however, apply, without exception, to any other claim, loss, or entitlement you may bring or assert in connection with a Contract — including any loss claimed in addition to, or instead of, a refund under those sections.
If you are a Business Customer, you must notify us in writing of any claim arising out of or in connection with a Contract within 12 months of the date on which the event giving rise to the claim occurred, failing which the claim will be barred and you will have no further right of action in respect of it. This section does not apply to you if you are a Consumer.
Each limitation and exclusion in this section operates separately. If any one of them is found by a court or other competent authority to be invalid, unenforceable, or unlawful, that finding will not affect the validity or enforceability of the others, each of which will continue to apply and take effect to the fullest extent it lawfully can.
Our Services and Products are intended for adults only. To purchase or enrol in any Service or Product, you must be at least 18 years old. By making a Booking, you confirm that you are at least 18 years old. If you are booking on behalf of a Business Customer, you personally must also be at least 18 years old.
If you have a complaint about a Service or Product, please contact us in the first instance using the details in Section 31, including as much detail as possible so that we can look into it. We will aim to acknowledge and address your complaint promptly and fairly.
If your complaint relates to how we handle your personal information, please see the complaints section of our Privacy Notice instead, which explains how to raise that separately, including your right to contact the Information Commission (known before 30 September 2026 as the Information Commissioner's Office, or ICO).
In these terms, headings are included for convenience only and do not affect interpretation. Words importing the singular include the plural and vice versa. Where a list of items follows the words "including" or "includes" that list is illustrative only and does not limit the general words that come before it.
If any provision of these terms is found by a court or other competent authority to be invalid, illegal, or unenforceable, that provision will be treated as removed to the minimum extent required, and the remaining provisions will continue to have full force and effect.
If we do not insist immediately that you do anything you are required to do under these terms, or if we delay in taking steps against you in respect of a breach of a Contract, this will not mean that you do not have to do those things, and it will not prevent us from taking steps against you at a later date. A waiver by us of any breach of these terms will not be treated as a waiver of any later breach.
We may transfer or assign our rights and obligations under a Contract to another person — whether an individual or an organisation — for example in connection with a sale, merger, or reorganisation of our business, provided that this does not adversely affect your rights under that Contract.
You may not transfer or assign your rights or obligations under a Contract without our prior written consent.
Except as otherwise expressly stated in these terms, a person who is not a party to a Contract has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of its terms. This does not affect any right or remedy of a third party that exists, or is available, independently of that Act, save to the extent that such right or remedy may lawfully be limited or excluded, in which case it is limited or excluded to the fullest extent the law permits.
These Terms and Conditions, together with our Privacy Notice and any Service- or Product-specific information provided to you in writing at the point of Booking, constitute the entire agreement between you and us in relation to your purchase, and supersede any prior agreement or understanding relating to it. Our Website Terms govern your use of our website generally and do not form part of the contract for your purchase.
You acknowledge that you have not relied on any statement, representation, warranty, or understanding (whether made innocently or negligently) other than those expressly set out in, or referred to in, these terms. Nothing in this section excludes or limits liability for fraudulent misrepresentation.
If you are a Consumer, nothing in this section excludes or limits any right you have in relation to pre-contract information we were required to give you under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, to the extent that information forms part of your Contract under those Regulations.
These Terms and Conditions, and any Contract formed under them, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), are governed by the law of England and Wales.
The courts of England and Wales have exclusive jurisdiction over any such dispute or claim, whether you are a Consumer or a Business Customer, except that, if you are a Consumer, this section does not restrict any entitlement you have under mandatory law to bring proceedings in the courts of another part of the United Kingdom in which you are domiciled or habitually resident, to the extent (and only to the extent) that such law entitles you to do so.
We may update these Terms and Conditions from time to time, for example to reflect changes to our Services or Products, or to the law. Any such change will apply to Contracts formed after the change takes effect; it will not affect a Contract you have already entered into with us, unless we are required to make the change by law. Where we make material changes, we will update the "last updated" date at the top of this page.
